These Terms & Conditions govern the use of the Dainty Drift LLC website, wholesale account application, supplier inquiry forms, product lists, quotes, invoices, orders, buyer account access, and related business services.

By using this website, applying for wholesale access, requesting product information, submitting supplier information, placing an order, or communicating with Dainty Drift LLC, you agree to these Terms & Conditions, along with our Privacy Policy, Disclaimer, Return Policy, and MAP Policy.

1. B2B Wholesale Business

Dainty Drift LLC is a business-to-business wholesale distribution company. Our products, pricing, catalogs, quotes, and order opportunities are intended for approved business buyers only. We do not operate as a traditional consumer retail store.

2. Account Approval

Wholesale pricing and product access may be limited to approved accounts. Dainty Drift LLC may request business information, resale certificates, tax identification details, business licenses, website links, marketplace store links, and other verification documents before approving access. Submitting an application does not guarantee approval. Dainty Drift LLC reserves the right to approve, reject, suspend, or terminate any account at its discretion.

3. Accuracy of Information

You agree that all information submitted is accurate, complete, current, and authorized. Accounts that provide false, incomplete, expired, misleading, or unverifiable information may be rejected or suspended.

4. Product Information

Dainty Drift LLC works to provide accurate product information, including names, images, descriptions, UPCs, packaging, case packs, dimensions, weights, pricing, and availability. Product details may change without notice due to supplier updates, manufacturer changes, packaging revisions, inventory conditions, or marketplace requirements. Buyers are responsible for verifying all product information before listing, advertising, reselling, or distributing any product.

5. Inventory Availability

All inventory is subject to availability. Product lists, catalogs, quotes, emails, or availability sheets do not guarantee stock reservation unless an order is confirmed under the process agreed for your account.

6. Pricing & Quotes

All prices are subject to change without notice. Quotes are not final unless confirmed in writing by Dainty Drift LLC. We are not required to honor incorrect, outdated, mistakenly published, or unavailable pricing.

7. Orders & Payment

Unless otherwise agreed in writing, order acceptance, payment timing, and fulfillment follow the workflow communicated to approved buyers. An order is not final until product availability and pricing are confirmed, required payment is received where applicable, and Dainty Drift LLC accepts the order.

8. Taxes & Resale Certificates

Buyers are responsible for providing valid resale certificates or tax exemption documents where applicable. Buyers are responsible for taxes, duties, fees, or obligations related to purchase, resale, shipment, or business activity.

9. Shipping & Fulfillment

Dainty Drift LLC may use third-party warehouses, logistics providers, freight companies, parcel carriers, and fulfillment partners. Shipping timelines are estimates unless confirmed in writing. We are not responsible for carrier delays, incorrect addresses, failed deliveries, weather delays, freight disruptions, or events outside our control.

10. Delivery & Risk of Loss

Buyers are responsible for providing accurate shipping information. Risk of loss may transfer to the buyer once the order is shipped, tendered to the carrier, or picked up by a buyer-arranged carrier, unless otherwise stated in writing.

11. Returns & Claims

All wholesale sales are considered final unless a return, refund, replacement, or credit is approved by Dainty Drift LLC in writing. Claims follow our Return Policy. No return will be accepted without written authorization.

12. Marketplace Seller Responsibility

Buyers selling on Amazon, Walmart, eBay, Shopify, or other platforms are responsible for checking marketplace rules, brand restrictions, category requirements, listing eligibility, and account requirements before purchasing. Dainty Drift LLC does not guarantee marketplace approval, ungating, invoice acceptance, Buy Box eligibility, listing approval, ranking, profit margin, sales volume, or account health results.

13. Brand, MAP & Resale Restrictions

Product availability does not automatically mean the buyer is authorized by a brand or marketplace to sell that product through every channel. Buyers agree to follow applicable brand, supplier, MAP, marketplace, and resale requirements.

14. Compliance Responsibility

Certain categories may require labeling, safety documents, testing, expiration control, lot tracking, storage rules, or marketplace compliance. Buyers and suppliers are responsible for ensuring products comply with applicable requirements for their intended channels.

15. Restricted Products

Dainty Drift LLC may restrict or reject products, categories, buyers, suppliers, or sales channels based on compliance, ethical, legal, documentation, or business concerns.

16. Confidential Information

Wholesale prices, product lists, inventory sheets, supplier details, quotes, buyer access, and business documents may be confidential and may not be copied, published, shared, scraped, resold, or misused without written permission.

17. Intellectual Property

Website content, forms, graphics, and business materials are owned by or licensed to Dainty Drift LLC unless stated otherwise. Third-party brand names and trademarks belong to their respective owners and are used for identification purposes only.

18. Limitation of Liability

To the fullest extent permitted by law, Dainty Drift LLC is not liable for indirect, incidental, special, consequential, punitive, or business-related losses, including lost profits, marketplace account issues, listing removals, carrier delays, supplier changes, or product unavailability. Total liability for any order-related claim shall not exceed the amount paid by the buyer for the specific products involved in that claim.

19. Account Suspension

Dainty Drift LLC may suspend or terminate account access for false information, invalid documents, payment issues, chargebacks, fraud concerns, MAP or resale violations, misuse of invoices, unauthorized sharing of pricing, or abusive communication.

20. Governing Law

These Terms shall be governed by the laws of the jurisdiction designated by Dainty Drift LLC in a published, counsel-approved version of this policy.

21. Updates

Dainty Drift LLC may update these Terms at any time. Continued use of the website or services after updates are posted may be considered acceptance of the updated Terms.
